These Terms of Service (the “Terms”) govern your use of the PowerDedi website and of the dedicated servers and related services we provide. By creating an account, placing an order or paying an invoice, you accept them. The Acceptable Use Policy, the Service Level Agreement and the Refund Policy form part of these Terms; our Privacy Policy explains how we handle personal data.
1. Definitions
- “PowerDedi”, “we”, “us” and “our” mean the PowerDedi service and the operator of PowerDedi identified on your invoices.
- “You” means the person or organization that holds the account.
- “Agreement” means these Terms, the policies listed above and any quote you accept.
- “Server” means a physical, bare-metal dedicated server made available for your exclusive use.
- “Services” means the Servers and their included features, add-ons, the client panel, the website and support.
- “Client panel” means the online interface for managing your account and Servers, including support tickets.
- “Account balance” means funds credited to your account, recorded in US dollars (USD).
- “Billing period” means the one-month period covered by a paid invoice; the “due date” is the day the next one begins.
- “Customer Data” means all data, software and content stored on or transmitted through your Servers.
2. Eligibility and your account
You must be at least 18 years old and able to enter into a binding contract. If you accept these Terms for an organization, you confirm that you are authorized to bind it.
- Email-only sign-up. An account requires only a valid email address that you control; we do not ask for identity documents or run identity checks (KYC). Keep it up to date: we use it for invoices, service and abuse notices, and changes to these Terms.
- One account holder. Each account belongs to a single person or organization. You may give others access to your Servers, but you may not sell, transfer or share the account itself without our written consent.
- Credentials. Keep your credentials secure and confidential, and if you suspect unauthorized access, change your password and sign out your other sessions at once, then tell us in a support ticket.
- Responsibility. You are responsible for all activity under your account and on your Servers, including activity by anyone you give access to.
3. The Services
3.1 Dedicated servers
Each Server is a physical machine used by you alone, with full root access, in the location you choose. Its specifications are those listed in our server catalog when you order, or in your accepted quote.
3.2 Delivery
Delivery times are estimates, counted from payment confirmation: about 15 minutes for in-stock configurations, which are provisioned automatically, and 24 hours or 72 hours for built-to-order configurations, as shown for each. A Server is delivered when its access credentials are made available to you; late delivery is covered in section 8.
3.3 Included with every Server
- 10 Gbps port, unmetered traffic. No transfer quota, no overage fee, no 95th-percentile billing and no inbound/outbound ratio: we never count or bill your traffic. Every Server has its own 10 Gbps port, not shared with anyone else, and you can run it hard around the clock. As on any network, the uplinks beyond your port are shared, so real-world throughput also depends on the route to the other end. We only step in on traffic that harms the network (attacks, packet floods, abuse) and, unless an attack is in progress, we contact you first.
- DDoS mitigation. Always-on, network-level mitigation of volumetric attacks (L3/L4). Application-layer (L7) protection, such as rate limiting or a web application firewall, is your responsibility.
- Out-of-band access. An IPMI / KVM-over-IP console, a rescue system (Linux live environment), and hard reboot and power cycle from the client panel.
- IP addresses. One dedicated IPv4 address and a routed /64 IPv6 subnet (a /56 is free on request), with self-service reverse DNS.
- Operating systems. Debian, Ubuntu, AlmaLinux, Rocky Linux, Proxmox VE or FreeBSD, or any other system from your own ISO over IPMI / KVM. Windows requires your own license and ISO; we do not sell Windows licenses.
- No setup fee and no minimum term, unless a quote states otherwise.
3.4 What is not included
The Services are unmanaged: we do not administer your operating system, applications or data, provide backups or sell software licenses. Support covers the hardware, the network and the PowerDedi platform. Support is provided by ticket in the client panel, to customers with at least one active Server. We aim to answer within a few hours, and server-down and network issues are handled 24/7. There is no phone or email support.
3.5 Custom builds and upgrades
Custom configurations are quoted within 1 business day, usually with a lead time of 5–10 business days, and are billed monthly. For unusual hardware, a 3-month minimum term may apply and is stated in the quote. RAM and disk upgrades are quoted per configuration.
4. Orders and payment
4.1 Prices and currencies
Prices are set in USD and payable in cryptocurrency only: Bitcoin (BTC), Ethereum (ETH), Monero (XMR), Tether (USDT) on the TRON network (TRC-20) and Solana (SOL), as described on our crypto payments page. We do not accept cards, bank transfers or PayPal. Any tax we are required to charge is shown on your invoice.
4.2 Invoices and crypto payments
Orders and renewals are invoiced in USD and paid from your account balance. You fund the balance with crypto top-ups of at least $100, in advance or when an order or an invoice needs it; a top-up made for an order or an invoice pays it as soon as the payment confirms, and any surplus stays on your balance. When you open a payment, the crypto amount is locked for its validity window: 30 minutes, or 45 minutes for Bitcoin and Monero. Each payment has its own deposit address: send the exact amount on the exact network shown. USDT is accepted on the TRON network (TRC-20) only. A payment confirmed shortly after the window has closed is still detected and credited.
If the amount received differs from the amount shown, the payment is not credited automatically: report it from the payment page with its transaction hash and we credit the amount actually received to your account balance.
4.3 Network fees and irreversibility
Network fees are borne by the payer: the amount received at the deposit address must match the invoice. A payment counts as received, and your Server is provisioned, once it is confirmed on its blockchain.
Blockchain transactions are irreversible: we cannot cancel, reverse or recall a payment, and there are no chargebacks. We are not responsible for funds sent to the wrong address, on the wrong network or in an unsupported token, although we will help where recovery is technically possible, nor for exchange-rate movements.
4.4 Account balance
You can top up your account balance once and let renewals be paid from it automatically. Top-ups are paid in cryptocurrency, recorded in USD and start at $100. The balance earns no interest and cannot be transferred to another account. Unused balance is refundable on request within 30 days of the top-up (section 8).
5. Renewals and automatic payment
Servers are billed monthly and renew automatically until you cancel them. We issue each renewal invoice 7 days before the due date; if your account balance covers it, it is paid automatically from the balance. Otherwise, pay it before the due date, directly or by topping up your balance. Paying on time is your responsibility, even if a reminder does not reach you.
We may change prices for future billing periods. For an existing Server, a price increase is a material change announced at least 30 days in advance (section 20); a billing period already paid is never repriced.
6. Non-payment, suspension and termination
If a renewal invoice is not paid in time, this timeline applies:
| When | What happens |
|---|---|
| Due date, invoice unpaid | A 3-day grace period starts. Your Server keeps running. |
| End of the grace period | The Server is suspended: it is taken offline, but its disks are left untouched. |
| 7 days after suspension | The Server is terminated, its disks are securely wiped and its IP addresses are reclaimed. |
To lift a suspension, pay the outstanding invoice; we restore the Server once the payment is confirmed. The billing period you pay for still starts on the original due date.
Data cannot be recovered after wiping. Keep your own backups.
7. Cancellation by you
You can cancel a Server at any time from the client panel. It stays active until the end of the billing period you have paid for, and its disks are then securely wiped. Renewal invoices are issued, and paid from your balance when it covers them, 7 days before the due date: cancel before that point to avoid being charged for another billing period. A minimum term stated in a custom-build quote still applies.
8. Refunds
Refunds are governed by our Refund Policy, which prevails over this summary:
- Unused account balance is refundable on request within 30 days of the top-up, to a wallet you control, in the same cryptocurrency, minus the network fee.
- If a Server is not delivered within 48 hours after its stated delivery time, you can cancel it from its page for a full refund of that invoice to your balance, then request that balance back to your wallet.
- If we cannot fix or replace a hardware fault within 24 hours, you receive a prorated credit or refund for the remaining period.
- Otherwise, monthly Server fees are not refundable once the Server is delivered. You can cancel at any time to stop the next renewal.
- Refunds are calculated in USD and paid in the original cryptocurrency at the exchange rate at the time of the refund.
- Services terminated for Acceptable Use Policy violations are not refunded.
Nothing in this section limits a refund right you have under mandatory consumer law.
9. Service level agreement
Our Service Level Agreement commits to 99.9% network availability per calendar month, measured as the public connectivity of your Server’s port. Below that, you receive a service credit on your account balance (not cash):
| Monthly network availability | Credit (share of the Server’s monthly fee) |
|---|---|
| Below 99.9% | 10% |
| Below 99.5% | 25% |
| Below 99.0% | 50% |
| Below 95.0% | 100% |
After a hardware fault is confirmed, replacement starts within 1 hour, with a target completion within 4 hours for standard parts on in-stock platforms; for built-to-order parts, within 24 hours.
The SLA does not cover scheduled maintenance announced at least 48 hours ahead on the status page, issues caused by you or your software, null routes applied to stop attacks or abuse, suspensions for non-payment or Acceptable Use Policy violations, or force majeure. Claims must be made within 30 days of the incident, by support ticket. Service credits and the remedies in the Refund Policy are your only remedies for unavailability, except where the law provides otherwise.
10. Acceptable use
You must use the Services in line with our Acceptable Use Policy. It forbids, among other things, spam, phishing, malware, botnets and command-and-control servers, attacks on other networks, unauthorized mass scanning, open proxies or resolvers left abusable, fraud, infringing content, and anything illegal in the country where the Server is located. Child sexual abuse material is subject to zero tolerance and reported to the authorities.
Allowed with conditions: VPN services (you handle abuse for your users), non-exit Tor relays (exit relays only with our prior written approval and a reduced exit policy) and CPU cryptocurrency mining (GPU mining is not permitted on GPU servers).
10.1 Enforcement
- We notify you of a violation and give you 24 hours to fix it, or 48 hours for valid infringement notices, which we forward to you and which you must answer. Repeated or unresolved infringement leads to action.
- For an active attack, child sexual abuse material or anything that harms our network or third parties, we may apply a null route or suspend the Server immediately, without prior notice.
- Repeated violations lead to termination without refund.
A null route discards all traffic to a specific IP address on our network. We use it to stop an attack against or from a Server, or ongoing abuse, and lift it once the attack has ended or the issue has been fixed. Abuse can be reported through our abuse page.
11. Your responsibilities
With full control of your Servers come these responsibilities:
- Security. Protect your Servers: use SSH keys and a firewall, change the initial credentials after delivery and expose only the services you need (see our guide on securing your server).
- Patching. Keep your operating system and applications up to date with security fixes.
- Backups. We do not back up your data. Keep copies of anything important outside the Server; RAID is not a backup.
- Lawful use. Keep your content and activities lawful in the country where the Server is located and under any other law that applies to you.
- Licenses. Hold valid licenses for all software you install, including Windows (your own license and ISO), and follow their terms.
- Your users. If others use your Servers, such as your own customers or VPN users, you are responsible for their activity and must handle abuse reports about it.
12. Our access to your Servers
We never access the contents of your Servers, such as the operating system, files, databases or applications, except:
- when you ask us to, for support, and only as far as needed; or
- when we are legally compelled to by a valid order from a competent authority, in which case we notify you when the law allows it.
We do not monitor the content you store or transmit; our network equipment processes traffic automatically, only to route it and filter attacks. Our technicians handle the physical hardware for maintenance and repairs, such as replacing a failed disk, without accessing your data.
13. IP addresses
IP addresses assigned to your Servers remain ours or, where we lease them, the lessor’s. You may use them while the related Server is active, but you acquire no ownership of them and cannot transfer them. When a Server ends, its IP addresses are reclaimed and may be assigned to someone else.
Additional IPv4 addresses cost $2.50 per month each, up to 16 per Server; larger blocks require a written justification under regional internet registry (RIR) policy. A routed /56 IPv6 subnet is free on request. We cannot guarantee that an address has never appeared on a third-party blocklist. See IP addresses for details.
14. Maintenance and hardware replacement
We announce scheduled maintenance at least 48 hours in advance on our status page. Urgent work to fix a security issue or prevent a failure may be carried out without notice and is kept as short as possible.
We replace confirmed faulty hardware following the targets in section 9, with parts of equal or better specification. Data on a replaced disk is not transferred: rebuilding your RAID array or restoring your data is your responsibility.
15. Suspension and termination by us
We may suspend or terminate Services, or null route specific IP addresses:
- for non-payment (section 6) or Acceptable Use Policy violations (section 10);
- for any other serious or repeated breach of this Agreement that you do not remedy after notice;
- to stop an active threat to our network, our other customers or third parties;
- when required by law or by a valid order from a competent authority;
- when an account was opened to get around a previous termination.
We use the least disruptive effective measure, such as a null route on one address rather than suspending a whole Server, and, except in urgent cases, contact you first. If we stop offering a Server model or a location, we give you reasonable notice and keep your Server running until the end of the period already paid for.
16. Your data at the end of a Service
When a Server ends, whether cancelled or terminated, its disks are securely wiped unless the law requires us to preserve them. We keep no backups of Customer Data, and wiped data cannot be recovered. Copy your data before the end of the paid period or, if your Server is suspended, pay the outstanding invoice to regain access before termination. Account data is handled as described in our Privacy Policy.
17. Disclaimers and limitation of liability
Except as expressly stated in this Agreement, including the Service Level Agreement, and to the extent permitted by law, the Services are provided “as is” and “as available”, without any warranty that they will be uninterrupted, error-free or fit for a particular purpose.
To the extent permitted by law, our total liability for all claims relating to a Service is limited to the fees you paid for the affected Service in the 3 months before the claim, and we are not liable for indirect or consequential damages, such as loss of profits, revenue, business, goodwill or data.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud, for death or personal injury caused by negligence, or under mandatory consumer protection rules.
18. Indemnification
You will indemnify PowerDedi against claims, damages, fines and reasonable costs, including legal fees, brought by third parties or authorities and arising from your use of the Services, Customer Data, your users’ activity, or your breach of this Agreement or the law. We will notify you promptly of any such claim. If you are a consumer, this section applies only as far as the law allows.
19. Force majeure
Neither party is liable for a failure or delay caused by events beyond its reasonable control, such as natural disasters, fire, war, civil unrest, epidemics, government action, failures of power grids, third-party networks or blockchains, or attacks on a scale that exceeds reasonable mitigation capacity. The affected party must limit the impact and resume performance as soon as possible. Force majeure does not suspend payment for Services already delivered.
20. Changes to these Terms
We may update these Terms. For material changes, including price increases for existing Servers, we give at least 30 days’ notice in the client panel and on our website. Changes that are not material, or that the law requires to apply sooner, may take effect when published. If you do not agree with a change, you can cancel before it takes effect; if you keep using the Services afterwards, the updated Terms apply to you.
21. Assignment
You may not assign or transfer your account or this Agreement without our prior written consent. We may assign this Agreement to an entity that takes over the operation of PowerDedi, without reducing your rights under it; we will tell you, and the new operator will be identified on your invoices.
22. Severability
If a court or competent authority finds any part of this Agreement invalid or unenforceable, that part is limited or removed only as far as necessary, and the rest of the Agreement remains in effect.
23. Entire agreement
This Agreement is the entire agreement between you and PowerDedi about the Services and replaces any earlier understanding. In case of conflict, an accepted quote prevails for the commercial terms it sets out, such as hardware, price and minimum term; the Acceptable Use Policy, the Service Level Agreement and the Refund Policy prevail on their own subjects; and these Terms govern everything else. If we do not enforce a right immediately, we have not waived it.
24. Notices and contact
We send notices through the client panel or, for matters that concern all customers, such as scheduled maintenance, on our website and status page. We do not send notices by email. Customers with an active Server reach us by support ticket from the client panel; formal legal notices, including from people without an account, go through our abuse and legal notice form. The Services are provided by the operator of PowerDedi identified on your invoices.
25. Governing law and disputes
This Agreement is governed by the laws of the jurisdiction where the operator of PowerDedi is established, as indicated on your invoices, and the courts of that jurisdiction have exclusive jurisdiction over any dispute arising from or relating to it. If you are a consumer, you keep the protection of the mandatory provisions of the law of your country of residence, including any right it gives you to bring proceedings before your local courts.
Before starting proceedings, please tell us about the issue, by support ticket or through our legal notice form, so that we can try to resolve it informally.
